People91 is a B2B telecalling and sales CRM platform built for Indian sales teams, offering lead management, DND/NDNC list scrubbing, telecalling workflow tools, campaign messaging, pipeline tracking, reporting, and related features as described on our website and within the product from time to time. We may add, modify, or remove features at our discretion, and will make reasonable efforts to communicate material changes that affect your use of the Service.

You must provide accurate, current, and complete information when creating an account, and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly at hello@people91.com if you become aware of any unauthorized access to or use of your account.

Access to the Service is provided on a subscription basis under the plan you select at sign-up or upgrade. Subscription fees are billed in advance on a monthly or annual basis as selected, in Indian Rupees (INR) unless otherwise agreed in writing. Applicable taxes will be added to invoices as required by law. Unless you cancel before the end of your current billing cycle, your subscription will automatically renew for a further period of the same duration at the then- current plan pricing. Except where required by law or expressly stated otherwise, fees already paid are non-refundable.

You agree not to use the Service to:

• Upload, import, or dial telephone numbers, or send messages, in violation of applicable law, including TRAI's Telecom Commercial Communications Customer Preference Regulations (National Do Not Call / NDNC), the Digital Personal Data Protection Act, 2023, or any other applicable telecom, data protection, or consumer protection regulation;
• Transmit unsolicited, fraudulent, deceptive, defamatory, or unlawful communications of any kind;
• Attempt to gain unauthorized access to the Service, other customers' data, or the infrastructure supporting the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as expressly permitted by law;
• Resell, sublicense, or provide the Service to third parties on a standalone basis without our prior written consent.

You are solely responsible for ensuring that your organization holds any telemarketer registrations, consents, and permissions required by law before using the Service to contact individuals. People91's DND/NDNC scrubbing tools are provided to help you reduce compliance risk, but do not by themselves guarantee compliance with every applicable law in every jurisdiction, and do not substitute for your own consent-management practices.

As between you and us, you retain all rights to the lead, contact, call, and business data you upload to or generate within the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide, maintain, and improve the Service on your behalf. You are responsible for the accuracy, legality, and lawful sourcing of Customer Data you upload. Each customer's data is logically separated from other customers on a dedicated application instance, and is not shared with other customers of the Service.

The Service, including its software, design, branding, and documentation, is owned by 91Technologies and its licensors and is protected by applicable intellectual property laws. Except for the limited right to use the Service under these Terms, no rights or licenses are granted to you, whether by implication, estoppel, or otherwise.

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and to use such information only as necessary to perform its obligations under these Terms.

We aim to keep the Service available and performant, but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party service interruptions, and factors outside our reasonable control (including internet, telecom, or hosting-provider outages) may affect availability from time to time. Support is provided by the channels communicated to you at sign-up or within the product.

These Terms remain in effect for as long as you maintain an active subscription. Either party may terminate for the other party's material breach if the breach is not cured within a reasonable period after written notice. We may suspend or terminate access immediately where necessary to prevent harm to the Service, other customers, or third parties, or where required by law. Upon termination, your right to access the Service ends, and we will make Customer Data available for export for a reasonable period as communicated to you, after which it may be deleted in accordance with our data retention practices.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. To the maximum extent permitted by applicable law, 91Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold 91Technologies harmless from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Data, or your violation of any applicable law, including telecom and data protection regulations, in connection with your use of the Service.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the location of 91Technologies' principal place of business in India.

We may update these Terms from time to time to reflect changes to the Service or applicable law. Material changes will be notified through the Service or by email to your account's registered contact. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
